General Terms and Conditions
The General Terms and Conditions below apply to commissioned work:
ARTICLE 1 - QUOTE
A quotation is drawn up for each assignment in which the assignment is formulated. It also records how, when, and with whom the assignment is carried out. The quotation amount will be specified and explained in detail. Quotations are without obligation and remain valid for one month.
If a customer agrees to a quote, he or she must confirm the order. This can be done by sending a written confirmation by post, verbally agreeing, or by sending a reply to the quotation, if it has been submitted by e-mail.
If the quotation stipulates other conditions than those included in these general terms and conditions, the conditions stated in the quotation will apply and the points from these general terms and conditions to which the changes relate will expire.
ARTICLE 2 - ADDITIONAL WORK
If an order changes in such a way that it exceeds the work described in the quotation, this constitutes additional work. Fees may be charged. If this situation occurs, the client will be informed on time.
ARTICLE 3 - CONTACT PERSON
The client appoints one contact person for each assignment. All communication goes through this person. The contact person has the responsibility to act on behalf of the client.
ARTICLE 4 - ASSEMBLY
During each installation, the client is shown the first version. This one is as good as finished. The client receives 2 additional rounds of revision for any adjustments. If more than 2 rounds of revision are required, this counts as more work (see ARTICLE 2 - ADDITIONAL WORK).
ARTICLE 5 - TRAVEL EXPENSES
The travel expenses allowance amounts to 0.50 euros per kilometer driven and/or the costs incurred by public transport.
ARTICLE 6 - MUSIC RIGHTS
If copyright-protected music is used, music rights must be paid to the Buma/Stemra Foundation. An estimate of the costs will then be given in the quotation. These costs may be higher or lower in the final invoice. This has to do with the complex rates of the Buma/Stemra foundation. It is also possible to purchase royalty-free music. All music rights are then paid for in a one-off amount.
All licenses and rights, both for copyrighted music and royalty-free, will have to be purchased and managed by the client himself. The client is responsible for complying with the rights associated with the use of the music license.
yuchecktsang is not liable for claims from third parties arising from the unlawful use of music licenses by the client.
ARTICLE 7 - COPYRIGHT
All images, sounds, and texts produced (concepts, scripts, video images, photos, and animations) are subject to copyright and are protected by copyright. To use copyrighted material, permission must be granted by the author, in this case, yuchecktsang.
ARTICLE 8 - INTELLECTUAL PROPERTY
Templates, designs, forms, and other documents are the intellectual property of yuchecktsang and will not be made available.
ARTICLE 9 - COPYRIGHT
Unless otherwise agreed, copyright (the right to make copies) remains with yuchecktsang. A client must request permission to make more copies of a film, and costs will be charged. Copyright is tradable. The client can therefore purchase the right to make unlimited copies themselves.
In the event of copyright infringement, yuchecktsang is not responsible for any claims from third parties.
ARTICLE 10 - RAW FILM MATERIAL
Unless otherwise agreed, raw film material will not be made available automatically. If no agreements are made about storage, yuchecktsang will store the raw film material after completion of production for a maximum of 1 year after delivery of the end product and then destroy it.
ARTICLE 11 - PAYMENT
The standard payment is 50% of the quote before any services are provided and the remaining costs after the deliveries of the final products. The standard payment term is 14 days after receipt of the invoice. If payment is not made on time, the following terms and costs apply:
First reminder: 10 days after the due date, no extra costs.
Second reminder: 20 days after the due date, 25 euros administration costs, and legally required interest.
ARTICLE 12 - PAYMENT OF RENTED EQUIPMENT IN ADVANCE
If it is necessary to rent (film) equipment for the work, the costs for this will always have to be paid by the client before the work.
ARTICLE 13 - RESERVATION OF OWNERSHIP
The client is only the owner of the film production once payment has been received. Please note: 'owner' does not mean that the copyright and authorship also belong to the client. See Article 9 – Copyright. The client only becomes the owner of the product or service to be delivered described in the quotation.
ARTICLE 14 - CANCELLATIONS
In the event of cancellations, the client must notify this no later than 5 days before production. If the report takes place in less than 5 days before production, a claim for damages will be filed at 75% of the quote. If the report takes place in less than 48 hours before production, a claim for damages will be filed at 100% of the quote.
ARTICLE 15 - LIABILITY
By demonstrable damages, yuchecktsang is liable up to a maximum of the quotation amount.
Algemene voorwaarden
De onderstaande Algemene Voorwaarden zijn van toepassing op werkzaamheden in opdracht:
ARTIKEL 1 - OFFERTE
Voor iedere opdracht wordt een offerte samengesteld waarin de opdracht helder wordt geformuleerd. Ook wordt vastgelegd hoe, wanneer en met wie de opdracht wordt uitgevoerd. Het offertebedrag zal uitgebreid worden gespecificeerd en toegelicht. Offertes zijn vrijblijvend en blijven een maand geldig.
Als een klant akkoord gaat met een offerte, dient deze de opdracht te bevestigen. Dit kan door een schriftelijke bevestiging te sturen per post, mondeling een akkoord geven of door een reply te sturen op de offerte, als deze per e-mail is aangeleverd.
Als in de offerte andere voorwaarden worden gesteld dan in deze algemene voorwaarden zijn opgenomen, dan gelden de voorwaarden die in de offerte staan en vervallen de punten uit deze algemene voorwaarden waarop de wijzigingen betrekking hebben.
ARTIKEL 2 - MEERWERK
Als een opdracht zodanig verandert, dat het de in de offerte beschreven arbeid overstijgt, dan is er sprake van meerwerk. Hiervoor kunnen kosten in rekening worden gebracht. Mocht deze situatie zich voordoen, dan zal de opdrachtgever tijdig worden ingelicht.
ARTIKEL 3 - CONTACTPERSOON
Voor iedere opdracht wijst de opdrachtgever één contactpersoon aan. Alle communicatie verloopt via deze persoon. De contactpersoon heeft de verantwoordelijkheid om uit naam van de opdrachtgever te handelen.
ARTIKEL 4 - MONTAGE
Bij ieder montage krijgt de opdrachtgever de eerste versie te zien. Deze is zo goed als af. De opdrachtgever krijgt 2 revisierondes bij voor eventuele aanpassingen. Wanneer er meer dan 2 revisierondes nodig zijn, dan geldt dit als meer werk (zie ARTIKEL 2 - MEERWERK).
ARTIKEL 5 - REISKOSTEN
De reiskostenvergoeding bedraagt 0,50 euro per gereden kilometer en/of de gemaakte kosten met het openbaar vervoer.
ARTIKEL 6 - MUZIEKRECHTEN
Als gebruik wordt gemaakt van copyright beschermde muziek, moeten muziekrechten worden betaald aan stichting Buma/Stemra. Er wordt dan in de offerte een schatting gegeven van de kosten. Deze kosten kunnen in de uiteindelijke factuur hoger of lager uitvallen. Dit heeft te maken met de complexe tarieven van de stichting Buma/Stemra.
Daarnaast is het mogelijk om royalty free muziek te kopen. Alle muziekrechten worden dan met een eenmalig bedrag betaald.
Alle licenties en rechten, zowel voor copyright beschermde muziek als royalty free, zullen door de opdrachtgever zelf gekocht en beheerd moeten worden. De opdrachtgever is zelf verantwoordelijk voor het naleven van de rechten die gepaard gaan met het gebruik van de muzieklicentie.
yuchecktsang is niet aansprakelijk voor claims van derden die ontstaan door onrechtmatig gebruik van muzieklicenties door de opdrachtgever.
ARTIKEL 7 - AUTEURSRECHT
Alle geproduceerde beelden, geluiden en teksten (concepten, scripts, videobeelden, foto’s en animaties) vallen onder het auteursrecht en zijn auteursrechtelijk beschermd. Voor gebruik van auteursrechtelijk beschermd materiaal dient toestemming te worden verleend door de auteur, in dit geval yuchecktsang.
ARTIKEL 8 - INTELLECTUEEL EIGENDOM
Templates, designs, formulieren en overige documenten zijn intellectueel eigendom van yuchecktsang en worden niet beschikbaar gesteld.
ARTIKEL 9 - COPYRIGHT
Tenzij anders overeengekomen, blijft het copyright (het recht om kopieën te maken) bij yuchecktsang. Een opdrachtgever dient toestemming te vragen om meer kopieën van een filmproductie te maken en hiervoor worden kosten in rekening gebracht. Copyright is wel verhandelbaar. De opdrachtgever kan dus het recht kopen om zelf onbeperkt kopieën te maken.
In geval van copyrightschending is yuchecktsang niet verantwoordelijk voor eventuele claims van derden.
ARTIKEL 10 - RUW FILMMATERIAAL
Tenzij anders afgesproken wordt ruw filmmateriaal niet zonder meer beschikbaar gesteld. Als er geen afspraken worden gemaakt over opslag, dan zal yuchecktsang na voltooiing van een productie het ruwe filmmateriaal tot maximaal 1 jaar na het opleveren van de eindproduct opslaan en daarna vernietigen.
ARTIKEL 11 - BETALING
De standaard betaalwijze is 50% voordat de eerste werkzaamheden zijn verricht en de restbedrag nadat de definitieve versies opgeleverd zijn. De betalingstermijn is 14 dagen na ontvangst van de factuur. Bij het niet tijdig betalen, gelden de volgende termijnen en kosten:
Eerste herinnering: 10 dagen, geen extra kosten.
Tweede herinnering: 10 dagen, 25 euro administratiekosten en wettelijk verplichte rente.
ARTIKEL 12 - BETALING GEHUURDE APPARATUUR VOORAF
Indien het voor de werkzaamheden noodzakelijk is om (film)apparatuur in te huren, zullen de kosten hiervoor altijd voorafgaand aan de werkzaamheden betaald moeten worden door de opdrachtgever.
ARTIKEL 13 - EIGENDOMSVOORBEHOUD
De opdrachtgever is pas eigenaar van de filmproductie als de betaling is ontvangen. Let op: ‘eigenaar’ betekend niet dat het auteursrecht en copyright ook bij de opdrachtgever liggen. Zie Artikel 9 – Copyright. De opdrachtgever wordt alleen eigenaar van het in de offerte beschreven af te leveren product of dienst.
ARTIKEL 14 - ANNULERINGEN
In geval van annuleringen dient de opdrachtgever dit maximaal 5 dagen voor de productie te vermelden. Vindt de melding plaats na 5 dagen voor de productie, dan wordt een schadeclaim ingediend van 75% van de offerte. Vindt de melding plaats na 48 uur voor de productie, dan wordt een schadeclaim ingediend van 100% van de offerte.
ARTIKEL 15 - AANSPRAKELIJKHEID
Bij aantoonbare schade is yuchecktsang aansprakelijk tot een maximum van het offertebedrag.
